Terms of Service

Our terms and conditions

For Business Customers

Version date: September 19, 2026. Effective date: September 19, 2026.

1 Agreement and eligibility

These Terms govern the document-processing software and related website services provided by SwiftTrail Data Solutions Ltd (Company No. C2026091700015), a company incorporated in Trinidad and Tobago trading as SwiftTrail (we or us). Customer means the business identified in the account or an accepted order. By affirmatively accepting these Terms at registration or purchase, the accepting person confirms authority to bind Customer. If you lack that authority or do not agree, do not register or purchase for that business.

The Service is offered for commercial use by business customers. Authorized users must be at least 18 and permitted by Customer to act for it. The Service is not offered for personal, family or household use. Business-only eligibility does not remove privacy protections that apply to individuals whose information is processed.

The Data Processing Addendum, labeled For Business Customers, at useswifttrail.com/legal/dpa is incorporated into these Terms when SwiftTrail processes Customer Personal Data. The Copyright and DMCA Policy at useswifttrail.com/legal/copyright is also incorporated. The Privacy Notice at useswifttrail.com/legal/privacy explains information practices; acknowledging it is not a substitute for any specific consent required by law. Keep a copy of the version accepted.

2 Service and output

SwiftTrail uses automated processing, including Anthropic's commercial API, to extract requested structured information from uploaded PDF documents for example: leases and rent rolls and provide spreadsheet or other agreed output. Supported formats, usage limits and features are described in the selected plan or order. SwiftTrail does not provide legal, tax, accounting, valuation or investment advice and does not determine an individual's eligibility for any opportunity.

Automated output can contain omissions, incorrect associations, misread figures or other errors. Customer must compare output with the source documents before relying on it, supplying it to another person or using it in a business decision. The Service does not replace the original documents, professional review or Customer's recordkeeping duties. A trial or demonstration does not guarantee accuracy on every document.

3 Accounts and permitted use

Customer must provide accurate account details, protect credentials, manage authorized users and promptly report suspected unauthorized access to [email protected]. Customer is responsible for its users' compliance and the instructions they give through authorized access. SwiftTrail remains responsible for its own contractual security duties.

Subject to these Terms and the purchased subscription, SwiftTrail grants Customer a limited, nonexclusive, nontransferable right to use the Service for its internal business operations, including processing properties or portfolios it is authorized to manage. Resale, white-label use and making the Service available as another service require a separate written agreement.

4 Purchases and Paddle

All purchases are made through Paddle.com Inc. as Merchant of Record and authorized reseller. Paddle handles invoicing, payment and applicable transaction-tax administration. SwiftTrail supplies and supports the software. Paddle's Paddle Buyer Terms govern the purchase relationship with Paddle, and its Privacy Policy explains Paddle's information practices. These Terms govern Customer's use of SwiftTrail.

Prices, currency, billing period, included usage, overage rates and any tax treatment are shown before purchase. Customer must provide accurate billing and tax information to Paddle. SwiftTrail does not collect complete payment-card details or issue a separate invoice for a Paddle purchase. SwiftTrail may receive subscription, transaction and limited billing records needed to provision and support the Service.

5 Renewals trials usage and cancellation

A subscription renews for the billing period shown at checkout unless canceled before its renewal time. Checkout must identify the recurring amount or its calculation, frequency, trial end where relevant and cancellation method. Recurring charges require the authorization collected in the purchase flow. A trial converts to a paid subscription only if that conversion and the resulting charges were clearly disclosed and authorized; otherwise it ends without a charge.

If a plan permits usage-based overages, the applicable metric, included quantity, rates and charging schedule will be displayed before agreement. Customer authorizes only overages under that disclosed arrangement. Plan changes and added charges require the applicable approval through the account or checkout. Customer may review available usage information and contact [email protected] about discrepancies.

Cancel renewal through the Paddle customer portal linked from the subscription confirmation or the SwiftTrail billing page. If you cannot access the portal, promptly contact [email protected] for assistance. Cancellation normally stops future renewals and leaves access through the paid period. Deleting an uploaded document or stopping use does not cancel a subscription. We or Paddle will send or facilitate confirmation of cancellation.

Price increases will apply no earlier than the next renewal after at least 30 days' notice, or a longer notice period required by law. Customer may cancel before the change takes effect. We will coordinate notices and required authorizations with Paddle.

6 Refunds and payment problems

SwiftTrail offers an unconditional 30-day money-back guarantee on all subscription plans. If Customer is not satisfied for any reason, Customer may request a full refund of the most recent payment within 30 days of that charge, no questions asked and with no deduction for processing fees. Submit refund requests through Paddle or [email protected]. Approved refunds are processed through Paddle within the timeframe stated in Paddle's Buyer Terms. Outside the 30-day guarantee window, refunds for unused time or usage remain available at SwiftTrail's discretion or where required by law, a written order or these Terms. Where SwiftTrail owes a refund under these Terms or the DPA, SwiftTrail remains responsible for arranging it and will not rely on this processing method to avoid that obligation.

Customer may raise a good-faith billing dispute without waiving statutory or payment-network rights. For failed payments, SwiftTrail may restrict paid features after notice and a reasonable opportunity to resolve the problem, except where immediate action is necessary for fraud or security. Customer remains responsible for charges lawfully incurred before cancellation or termination, subject to applicable disputes and refunds.

7 Customer Content and AI processing

Customer retains its rights in uploaded documents, data and instructions. As between the parties and to the extent legally protectable, Customer owns its extraction results; SwiftTrail assigns to Customer any rights it may have in those results, excluding the underlying Service technology. Output may resemble output provided to others, and no copyright or exclusivity in machine-generated output is guaranteed.

Customer grants SwiftTrail only the rights needed to host, process, transmit and reproduce Customer Content to perform the Service, provide authorized support and meet the DPA's lawful security and compliance purposes. Customer represents that it has the necessary authority to upload and process the content and permit the disclosed Subprocessors to handle it. Customer must minimize Personal Data and redact unnecessary sensitive information before upload.

Do not upload complete card details, bank-account or financial-login credentials, Social Security or government identification numbers or identity-document copies, health data, biometric identifiers or other prohibited information described in the DPA. Ordinary lease data may still be personal or confidential information. Additional regulated data requires a signed agreement and supported safeguards before submission.

SwiftTrail will not use Customer Content to train or fine-tune general-purpose AI models, opt it into vendor training or submit it through optional model-feedback programs. Anthropic processes necessary content under the commercial API arrangement described in the DPA and Subprocessor List. SwiftTrail does not offer zero-retention or US-only processing under these Terms.

8 Acceptable use

Customer must not infringe intellectual-property or privacy rights; submit unlawfully obtained content; introduce malicious files; bypass security, quotas or access controls; access another customer's information; interfere with availability; or reverse engineer the Service except where non-waivable law permits it. Security testing requires prior written authorization.

Customer must not use the Service to generate tenant-screening or consumer reports or to automate eligibility decisions about housing, credit, employment, insurance or similar significant opportunities. Customer must not treat extracted output as a substitute for meaningful human verification or applicable legal duties. Use must comply with applicable laws and restrictions communicated for the Service, including lawful export and sanctions restrictions.

9 Confidentiality

Each party will protect the other's nonpublic business, technical, financial and security information using at least reasonable care, use it only for the Agreement and disclose it only to people and providers who need it and are bound by confidentiality duties. Customer Content is Customer's Confidential Information. These duties do not apply to information the recipient can demonstrate became public without breach, was already lawfully known, was independently developed without use of the information, or was lawfully received without a duty of confidence.

A recipient may disclose information as legally required, giving advance notice where permitted and limiting disclosure as appropriate. Confidentiality survives for three years after termination and, for Personal Data, trade secrets and retained Customer Content, for as long as the information remains protected by law or retained under the Agreement. The DPA controls any stronger data-protection duty.

10 Security privacy and copyright

SwiftTrail will maintain the reasonable safeguards described in the DPA. Customer Personal Data is governed by that DPA; SwiftTrail's own website, account and business records are described in the Privacy Notice. Authorized Customer Content providers appear at useswifttrail.com/legal/subprocessors. Subprocessor changes follow the DPA's notice and objection process.

Copyright claims and counter-notices follow useswifttrail.com/legal/copyright. SwiftTrail may remove or disable access to material as required by law and terminates repeat infringers in appropriate circumstances. The separate statutory counter-notice jurisdiction requirement is not changed by Section 17 below.

11 Suspension termination and data return

SwiftTrail may limit access where reasonably necessary to address a security risk, unlawful activity or material harm, using proportionate measures and notice where practicable. Either party may terminate for the other's material breach if not cured within 30 days after written notice, or immediately if the breach is incapable of cure. Customer may also cancel renewal as described above.

If SwiftTrail discontinues the Service or terminates for reasons other than Customer's breach, it will give reasonable notice where practicable and arrange through Paddle a prorated refund of prepaid fees for the unused period. The same refund applies if Customer terminates for SwiftTrail's uncured material breach. The DPA provides additional termination and refund rights for unresolved Subprocessor objections.

Export available documents and output promptly when ending the Service. Return, deletion, backup expiry and provider-specific retention follow DPA Section 10. Account closure and subscription cancellation are separate actions; we will assist Customer in completing both when requested. Sections concerning accrued rights, confidentiality, data handling, intellectual property, disclaimers, liability and dispute resolution survive as necessary to give them effect.

12 Intellectual property and feedback

SwiftTrail and its licensors retain the Service software, workflows, branding and other technology, apart from Customer Content and Customer's output rights. Customer may submit suggestions voluntarily. SwiftTrail may use suggestions to improve the Service without payment, but that permission does not authorize disclosure of Customer Confidential Information, use of Customer Personal Data outside the DPA or use of Customer's name or logo for marketing without consent.

13 Disclaimers

TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE. SWIFTTRAIL DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. SWIFTTRAIL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR THAT AUTOMATED OUTPUT WILL BE COMPLETE OR ERROR-FREE. These disclaimers do not cancel SwiftTrail's express obligations in these Terms or the DPA, or rights that cannot lawfully be excluded.

14 Limits of liability

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR BUSINESS OPPORTUNITIES, ARISING FROM THIS AGREEMENT. THE ORDINARY AGGREGATE LIABILITY OF EITHER PARTY IS LIMITED TO THE GREATER OF US$100 OR THE SWIFTTRAIL SERVICE FEES CUSTOMER PAID TO PADDLE IN THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM, EXCLUDING TAXES AND REFUNDED AMOUNTS.

For a party's breach of confidentiality or its data-protection obligations under the DPA, its aggregate cap is twice that ordinary cap. Reasonable direct investigation, restoration and legally required notification expenses arising from such a breach are not excluded solely because they relate to loss of data. The caps do not accumulate for multiple claims arising from the same or related events.

These exclusions and caps do not limit fraud, willful misconduct, gross negligence, liability that cannot lawfully be limited, or Customer's properly incurred payment obligations. They do not restrict a regulator or an individual's non-waivable statutory rights. The parties may agree different limits in a signed order.

15 Third party claims

Customer will defend SwiftTrail against a third-party claim that Customer lacked the rights necessary to submit Customer Content, or that Customer's use of the Service violated law or Section 8, and pay resulting amounts awarded by a court or agreed in settlement. This obligation does not cover claims to the extent caused by SwiftTrail's breach, negligence or misconduct. It is subject to Section 14 unless a signed order states otherwise.

SwiftTrail must promptly notify Customer, allow Customer reasonable control of the defense, and cooperate at Customer's expense. Delay excuses Customer only to the extent materially prejudiced. Customer may not settle a claim by admitting fault for SwiftTrail, restricting its business or imposing a non-monetary duty without SwiftTrail's written consent, not to be unreasonably withheld.

16 Changes

SwiftTrail may update these Terms with at least 30 days' notice of a material change. Material changes normally apply at the next renewal or upon Customer's affirmative acceptance. Earlier changes needed to comply with law or address an urgent security issue will be limited to that need, with as much notice as practicable. No change retroactively authorizes a new use of Customer Personal Data or removes accrued rights. Customer may cancel renewal if it does not accept proposed changes. Price changes follow Section 5, and Subprocessor changes follow the DPA.

17 Governing law and disputes

The laws of the Republic of Trinidad and Tobago govern this Agreement, excluding conflict-of-laws rules. Subject to mandatory law and the DMCA counter-notice provisions, the parties consent to the exclusive jurisdiction of the courts of the Republic of Trinidad and Tobago. Either party may seek urgent protective relief from a court with jurisdiction. Mandatory privacy and other laws applicable to the processing remain applicable regardless of this choice.

These Terms do not impose arbitration or a class-action waiver between Customer and SwiftTrail. A dispute with Paddle is governed by Customer's separate agreement with Paddle, including its own dispute-resolution provisions.

18 Notices and general terms

Contact SwiftTrail for support at [email protected], privacy matters at [email protected] and legal notices at [email protected]. Postal notices: SwiftTrail Data Solutions Ltd (Company No. C2026091700015), 14 Begonia Drive, Couva, Trinidad and Tobago. SwiftTrail may send contractual notices to the account administrator's email, which Customer must keep current. A formal notice under these Terms does not replace legal service of court papers.

Neither party may assign this Agreement without the other's consent, except to a successor in a merger or sale of substantially all relevant assets that assumes these obligations. Assignment does not reduce Personal Data protections. The parties are independent contractors. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited only as necessary and the remainder will continue.

The Agreement consists of these Terms, the incorporated DPA and Copyright Policy, and any mutually accepted written order. The DPA controls Personal Data conflicts; an expressly negotiated signed order controls other identified conflicts. Purchase-order boilerplate does not amend the Agreement. Paddle's buyer contract governs Paddle's sale separately and cannot be amended by a SwiftTrail statement. There are no intended third-party beneficiaries except where mandatory law provides rights. Electronic acceptance and records may be used, and Customer may request a copy of the accepted terms.
